1. SELLING YOUR PRACTICE NOW: Choose From 3 Service Options:
a) Full Service Practice Brokerage. For sellers who want our hands-on, step-by-step assistance. Provides guidance
and assistance with all critical steps of the sale process, including but not limited to: practice valuation (appraisal); structuring
the sale; advertising / marketing to locate a buyer; presenting practice information & data to the buyer; negotiations; organizing
the ownership transition; and, obtaining the purchase loan for the buyer. Available in: KY & WV only.
b) Seller Consultation. Designed for practice owners / sellers who have already found or identified a potential buyer (such as
a current associate or other potential outside buyer). Guides and assists sellers through each step of the sale process, from
practice valuation and negotiations to obtaining buyers’ purchase loans, and then through the future sale closing and ownership transition. Our Company represents the owner / seller in the case of this service. Service provided on a quoted fee basis, not commission. Fees quoted in advance of electing to use this service may vary from case to case depending upon the complexity of each specific sale
structure and ownership transition plan. Available in KY, NC, OH, PA, TN, VA, WV.
c) Buyer – Seller Intermediary
Service. Designed for practice sellers and buyers jointly. Guides and assists both the seller and buyer through each step
of the sale process, from practice valuation and negotiations to obtaining buyers purchase loan, and then through the future sale
closing and ownership transition. Our Company does not specifically represent either party, and is instead a neutral intermediary. Service provided on a quoted fee basis, not commission. Fees quoted in advance of electing to use this service may vary from
case to case depending upon the complexity of each specific sale structure and ownership transition plan. Fees for
this service are paid in part by the seller and in part by the buyer. Available in KY, NC, OH, PA, TN, VA, WV.
2. PLANNING
FUTURE SALES – 3 TO 5 YEARS IN ADVANCE: Retirement Sale & Transition Structure Planning Service: This service is designed
to help practice owners develop future sale and transition plans that will: (i) be feasible given the characteristics of their specific
practices; (ii) best achieve their career goals; and (iii) maximize the total combination of sale price and ongoing income that they
obtain from their practices during the transitioning years. Available in: KY, NC, OH, PA, TN, VA, & WV. (Note: Some
transition structure options can take up to 3, 5, or more years to execute. Although planning can be done 1 to 2 years
before expected retirement, it is best performed 3 to 5 years in advance, while there is adequate time to execute the more time consuming

3. PRACTICE
VALUATIONS (commonly called "appraisals"): Practice valuations are included in the four (4) services described above. Practice Valuations are also available as a separate service for buyers and sellers who are not utilizing our services for other aspects
of their purchase / sale transactions. Each practice valuation utilizes multiple valuation methodologies to better identify
and capture various aspects of each specific practice’s fair market value.
4. ASSOCIATE ADDITION & TRANSITION
STRUCTURE OPTIONS: Guidance in selecting, from multiple pre-sale associate addition & ownership transition structure
options, the approach best matching the practice owner’s specific practice, career goals, and personal financial objectives. (Note:
This service is designed for practice owners with 5 years of their expected retirement date. It is not designed to structure
associate additions during a practice owner’s mid-career phase.)
5. BUYER CONSULTATION / GUIDANCE / ASSISTANCE: Consultation,
guidance & assistance for practice buyers who have located a practice to buy.
